These terms govern your use of the website operated by Shingyo B.V. (KVK 69479240), Stationsplein 26, 6512 AB Nijmegen, The Netherlands, and explain the role in which Shingyo acts. They do not replace any separate commercial agreement between a buyer and a producer/manufacturer.

1. Who we are and how we act

Shingyo B.V. is an independent commercial agent within the meaning of Article 7:428 of the Dutch Civil Code. We introduce producers and manufacturers of natural commodities and packaging to buyers, and coordinate the surrounding documentation and communication.

We act on behalf of our principals (the producers/manufacturers) and are remunerated by them. Buyers are not charged for our involvement.

2. We are not a party to the sale

Any purchase or supply contract is concluded directly between the buyer and the producer/manufacturer. Shingyo:

• is not a party to that contract;
• is not the owner or seller of the goods;
• is not liable for the quality, quantity, conformity, delivery, or performance of the goods or of the contract between buyer and producer/manufacturer.

Rights and obligations regarding the goods, payment, delivery and warranties arise solely between the buyer and the producer/manufacturer under their own agreement.

3. Use of this website

You may use this website for lawful, informational purposes. You may not misuse it, attempt to gain unauthorised access, disrupt it, or use it in a way that infringes the rights of others or applicable law.

4. Information on the website

We take care to keep the information on this site accurate and up to date, but we provide it “as is” and give no warranty that it is complete, current or error-free. Regulatory information (for example on EUDR or MOSH/MOAH) is provided for general guidance only and is not legal advice. You should not rely on it as a substitute for professional advice or the applicable official texts.

5. Limitation of liability

To the extent permitted by law, Shingyo B.V. is not liable for any damage arising from the use of, or inability to use, this website, or from reliance on its content. Nothing in these terms excludes or limits liability that cannot be excluded or limited under Dutch law.

The name, logo (word mark and symbol), texts, images and design of this website are owned by or licensed to Shingyo B.V. and are protected by intellectual property rights. You may not copy, reproduce or use them without our prior written permission, except as permitted by law.

Your use of this website is also governed by our Privacy policy and Cookie policy.

9. Changes

We may amend these terms from time to time. The version shown here, with its date, is the one that applies.

10. Governing law and competent court

These terms and any use of this website are governed by the laws of the Netherlands. Disputes will be submitted to the competent court of the Rechtbank Gelderland (location Arnhem/Nijmegen), unless mandatory law provides otherwise.
